Please read these Terms of Use carefully before using Nexum. These terms govern your access to and use of the application and its features.

1. Acceptance of Terms

By accessing or using Nexum ("the App"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the App. These terms apply to all users, including visitors, registered users, and premium subscribers.

2. Description of Service

Nexum is a personal goal-setting and habit-tracking application that helps users align long-term goals with daily routines. The App provides tools for goal management, routine tracking, journaling, accountability partnerships, and productivity analysis. Some features may require a premium subscription.

3. User Accounts

To access most features of the App, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You must notify us immediately of any unauthorized use of your account.

4. User Content

You retain ownership of any content you create within the App, including goals, journal entries, routines, and templates ("User Content"). By using the App, you grant Nexum a non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the service to you. When you choose to make a template "public," you grant other users the right to view and import that template into their own accounts. You can revoke public access at any time by making the template private.

5. Acceptable Use

You agree not to use the App to: • Upload or share content that is unlawful, harmful, abusive, defamatory, or otherwise objectionable. • Impersonate any person or entity or misrepresent your affiliation. • Distribute spam, malware, or any harmful code. • Attempt to gain unauthorized access to any part of the App or its infrastructure. • Scrape, crawl, or use automated tools to extract data from the App. • Violate any applicable local, national, or international laws or regulations.

6. Premium Subscriptions

Certain features of the App are available only to premium subscribers. Premium subscriptions are billed on a recurring basis (monthly or annually) as described at the time of purchase. You may cancel your subscription at any time; however, no refunds are provided for the remaining portion of a billing period unless required by applicable law. We reserve the right to change subscription pricing with reasonable notice.

7. Accountability Buddies & Challenges

The App allows you to connect with other users as "accountability buddies" and participate in challenges. You are solely responsible for interactions with other users. Nexum does not verify the identity of users and is not responsible for the conduct of any user. You should exercise caution when sharing personal information with other users.

8. Intellectual Property

All content, design, graphics, interfaces, and code within the App (excluding User Content) are the intellectual property of Nexum or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms of Use by reference. By using the App, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Disclaimers

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Nexum does not warrant that the App will be uninterrupted, error-free, or free of harmful components. The goal-setting and productivity features are provided for informational and organizational purposes only and do not constitute professional advice of any kind (medical, financial, legal, or otherwise).

11. Limitation of Liability

To the maximum extent permitted by applicable law, Nexum and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the App. In no event shall our total liability exceed the amount you paid to us in the twelve months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms of Use or engage in conduct that we believe is harmful to the App, other users, or third parties. Upon termination, your right to use the App will immediately cease. You may also delete your account at any time through the Profile settings.

13. Changes to These Terms

We may update these Terms of Use from time to time. When we make material changes, we will notify you via the App or by email. Your continued use of the App after the effective date of the revised terms constitutes your acceptance of the changes. If you do not agree to the updated terms, please stop using the App.

14. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the European Union and the member state in which the operator is established, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
